Terms of Service

1. Agreement to Terms

By accessing or using the services provided by MS Cloud Support ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

MS Cloud Support provides Microsoft 365 and Azure managed services, professional services, cloud adoption consulting, migrations, security and compliance services, AI automation, Azure Virtual Desktop solutions, and IT helpdesk support.

3. User Responsibilities

When using our services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized access
  • Use our services only for lawful purposes
  • Comply with all applicable laws and regulations

4. Service Agreements

Specific services are governed by separate Service Level Agreements (SLAs) and Statements of Work (SOWs) that will be provided and agreed upon before commencement of services. These documents, along with these Terms, form the complete agreement between parties.

5. Intellectual Property

All content, trademarks, and intellectual property on our website and in our deliverables remain the property of MS Cloud Support or our licensors unless otherwise specified in writing. Client-specific deliverables and documentation created during engagements are owned by the client upon full payment.

6. Payment Terms

  • Pricing is as specified in individual service agreements
  • Invoices are due within 30 days of issue unless otherwise agreed
  • Late payments may incur interest charges
  • Microsoft licensing and third-party costs are billed separately

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of services.

8. Limitation of Liability

To the maximum extent permitted by law, MS Cloud Support shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless MS Cloud Support, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate services as specified in individual service agreements. Upon termination, you remain responsible for any outstanding payments, and we will provide reasonable transition assistance as specified in the service agreement.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with applicable laws.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which services are provided, without regard to conflict of law principles.
